Junior Legal Counsel, Energy & Infrastructure (BESS)
Lead the legal work behind Poland’s BESS growth, shaping permitting, transactions and governance while partnering with an international team driving the energy transition.
Role description
We are looking for a Junior Legal Counsel / Legal Counsel Poland to act as the primary internal legal lead for our Polish activities. The role covers regulatory, project, corporate governance, and transactional matters. Cooperation with group legal and senior legal counsel is essential. This is a practical role focused on leading legal processes, coordinating external counsel, and translating legal advice into business decisions, while providing support for the group activities in M&A, JVs and corporate governance, as well as for the other business units of the Company, including Construction, Regulatory and Development.
Key Responsibilities
Regulatory and Development
Oversee legal aspects of permitting and administrative decisions throughout the project lifecycle.
Manage land matters including lease agreements, easements, access rights, cable routes and other agreements needed for the development of BESS projects.
Identify and manage regulatory risks specific to BESS projects in Poland, including energy law and key aspects of energy markets.
Coordinate with external regulatory and real estate counsel.
M&A and Transactions
Draft transaction documents and provide ongoing support during M&A and JV processes.
Support local-language legal due diligence for BESS acquisitions and investments.
Assist group senior legal counsel with local regulatory checks during transactions.
Corporate and Governance
Provide daily legal support for Polish SPVs, including submitting motions to KRS and CRBR, covering corporate governance, powers of attorney, resolutions and internal transactions.
Support group structuring between Poland and Sweden.
Coordinate with tax, accounting and corporate service providers.
Maintain corporate documentation and signing authorities.
External Counsel Management
Act as the internal owner of all legal matters in Poland.
Decide when to engage external law firms and advisors.
Manage legal budgets and priorities.
Qualification Criterias
Required
Polish qualified lawyer (radca prawny or adwokat), or currently undergoing legal training (aplikant radcowski or aplikant adwacki), with at least 2 years of relevant legal experience, including experience gained during legal training, in a law firm or as in-house counsel within the renewable energy / BESS sector.
Strong background in permitting, corporate governance, M&A and regulatory frameworks (energy law).
Experience with renewable energy projects / BESS and M&A.
Fluent English.
Ability to work independently and take ownership.
Advantageous
Exposure to M&A, project finance and construction matters.
Familiarity with EPC, BoP and construction contracts.
Experience working with international groups or foreign investors.
